Documents Needed for Export Factoring: A Checklist for Indian Exporters
To fund an export invoice through factoring, an exporter typically provides company and KYC documents, a valid Importer-Exporter Code (IEC), the commercial invoice, the transport document such as a bill of lading or airway bill, the shipping bill for goods, and the contract or purchase order behind the sale. Providers may ask for more depending on the buyer, the goods and the amount, so treat this as a working checklist and not a guarantee of approval.
Key facts
- India's Foreign Trade Policy 2023 lists the mandatory documents for export of goods: a transport document (bill of lading, airway bill, lorry receipt, railway receipt or postal receipt), a commercial invoice cum packing list (a separate commercial invoice and packing list are also accepted) and a shipping bill, bill of export or postal bill of export.
- An IEC is a 10-character alphanumeric code that is mandatory for export and import activity. No export of goods may be made without one unless specifically exempted. For services, it is needed on the date of rendering services to avail Foreign Trade Policy benefits. It is the same as the PAN and is applied for online.
- For goods exported through an EDI port, the Export Declaration Form is deemed submitted as part of the shipping bill under the RBI's 2026 export regulations.
- Additional documents may be required for specific goods under other laws.
- Providers decide what they need for each buyer and invoice. Having these documents ready is what makes a funding request quick to review.
What do you need on the exporter side?
- Incorporation and KYC documents for the company, its directors or partners and authorised signatories.
- Your IEC, and the details of your Authorised Dealer bank.
- Recent export track record, such as a list of past shipments and buyers.
- Bank details for the account in which proceeds will be received.
- Existing financing details, so that no invoice is financed twice. Tell your bank which invoices are factored.
What do you need for each invoice?
- Commercial invoice, ideally with a packing list, showing buyer, goods, amount, currency and payment terms.
- Transport document, as proof of shipment: bill of lading, airway bill, lorry receipt, railway receipt or postal receipt.
- Shipping bill (or bill of export for goods, as applicable), which carries the export declaration for EDI ports.
- Contract or purchase order that the invoice is raised under, showing agreed terms.
- Proof of delivery or buyer acceptance, where available. This is your protection if the buyer later raises a dispute.
- Any special documents the goods require, such as certificates or licences.
For a services export, the invoice and the contract usually take the place of the transport documents, and the export declaration is filed in line with the RBI's rules for services.
What do you need on the buyer side?
A finance provider assesses the buyer to set a credit limit. Be ready with the buyer's full legal name and address, country, how long you have traded, your payment history with it and any trade references. See buyer credit limits explained.
Why do documents matter so much?
Because factoring is sized on a specific invoice and buyer, the paperwork is the evidence that a real sale took place and was delivered. Missing or inconsistent documents are the most common reason a funding request is delayed. Good records also help if a buyer disputes the goods, since a commercial dispute is not a credit event and is generally excluded from non-recourse treatment.
Frequently asked questions
Do I need an IEC to use export factoring?
For exporting goods you need an IEC unless you are in an exempt category, and a provider will normally ask for it. For services, an IEC is needed to avail Foreign Trade Policy benefits.
Is a bill of lading required?
For goods, a transport document is one of the mandatory export documents. Which one depends on the mode of transport: bill of lading for sea, airway bill for air and so on.
Do I need my buyer's consent to factor an invoice?
That depends on the structure. In disclosed factoring the buyer is notified through a Notice of Assignment. See Notice of Assignment explained.
What documents does a service exporter need?
Typically the invoice, the contract or statement of work, and evidence the service was delivered or accepted. Requirements vary by provider and buyer.
